CRIBoard Venue Board Terms and Conditions
The short version:
- Your venue board is free, and we may change it, pause it, or end it at any time.
- You promise you may use the logo and link you give us, and you let us show them on CRIBoard.
- The board shows your guests messages about the CRIBoard app.
- Everything is provided as is, with no warranty of any kind, and our liability is limited to the fullest extent the law allows.
- You are responsible for your venue, your guests, your logo and your link.
The short version is only a summary. The terms below are what apply.
Agreement
These Venue Board Terms and Conditions ("Terms") are an agreement between Essare LLC ("we", "us", "our") and the business you sign up ("you", "your", the "Venue").
They cover the free CRIBoard venue board: a version of the CRIBoard cribbage board at criboard.com that shows your logo and links to your website (the "Venue Board"), along with its QR code, table card and anything else we provide with it.
By checking the box to agree when you sign up, or by using or promoting the Venue Board, you accept these Terms.
The person who agrees promises that they are at least 18 years old and have the authority to accept these Terms for the Venue.
If you don't agree, don't sign up or use the Venue Board.
Your guests' use of CRIBoard is covered by our Website Terms of Use and Website Privacy Policy, which also apply to you as a user of the website.
The Venue Board
The Venue Board is free. We don't charge you for it, and we don't pay you for it.
We review every sign-up, and we may accept or decline any sign-up, for any reason or no reason.
We decide how the Venue Board looks and works, including where and how large your logo appears, and we may change it at any time.
Nothing in these Terms creates a partnership, joint venture, franchise, agency or employment relationship between you and us, or any endorsement of you by us or of us by you.
Your logo, name and link
You give us your venue's name, its logo, and a web address that a tap on the logo opens (together, "Your Content").
You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, store, resize, crop, reformat, display and distribute Your Content to provide, operate and improve the Venue Board, including on the board, its QR code and table card, and in the CRIBoard website's code and files.
You also allow us to name you, and show your logo, as a venue that offers CRIBoard. You can ask us to stop at any time by emailing us.
You promise that:
- You own Your Content, or have every right and permission needed to grant this license.
- Your Content, and our use of it under these Terms, doesn't infringe anyone's trademark, copyright or other rights, or break any law.
- Your link leads to your own lawful content, and not to anything misleading, harmful, sexually explicit, hateful, or that installs software on a visitor's device.
- You will keep your link working, and tell us if Your Content changes.
We may decline, remove or change the display of Your Content at any time, for any reason, without notice.
We are not responsible for Your Content or for anything at the address your logo links to.
Messages about CRIBoard
The Venue Board shows your guests messages about CRIBoard and the CRIBoard app, such as a message at the end of each game.
We decide what these messages say, when they appear, and how often, and we may change them at any time.
You receive no share of any money we make from the app or otherwise.
Your venue and your guests
You are solely responsible for your venue, your premises, your staff, and your guests' conduct.
We have no control over, and no responsibility for, what happens at your venue, including any injury, loss or damage to people or property, such as a phone dropped or a drink spilled.
You are responsible for following every law that applies to you, including any law about games, wagering, gambling, contests or prizes.
CRIBoard keeps score from what players enter. It doesn't check that the points are right, and it must not be relied on to settle a wager, tournament, prize or any other dispute.
You won't say or suggest that CRIBoard is your product, or make any promise about CRIBoard on our behalf.
We don't share your guests' information with you, and you get no access to it.
Changing, pausing or ending the Venue Board
We may change, pause, or stop the Venue Board, remove your venue, or end the venue board program entirely, at any time, for any reason or no reason, with or without notice, and without any liability to you.
You may ask us to remove your Venue Board at any time by emailing info@criboard.com. We will remove it within a reasonable time.
Once your Venue Board is removed, its address and QR code may stop working, or may open the plain CRIBoard board instead. You are responsible for removing your table cards and anything else that points to it.
The sections on your logo's promises, your venue and guests, the disclaimer, the limit of liability, indemnity, and governing law continue after these Terms end.
Disclaimer of warranties
To the fullest extent permitted by law, the Venue Board, the CRIBoard website, the QR code, the table card, and everything else we provide are provided "as is", "as available" and "with all faults", and you use them entirely at your own risk.
We disclaim all warranties, conditions and representations of every kind, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and any warranty arising from a course of dealing or usage of trade.
Without limiting the above, we make no warranty that the Venue Board will be available, uninterrupted, timely, secure or free of errors, viruses or other harmful components; that scores will be correct or saved; that the QR code will scan or the table card will print correctly; that the Venue Board will work on any particular device or browser; or that it will bring you any customers, sales or other benefit.
No advice or information, whether spoken or written, that you get from us creates any warranty not expressly stated in these Terms.
Some places don't allow some of these exclusions, so some of them may not apply to you. In that case they apply to the fullest extent the law allows.
Limit of liability
To the fullest extent permitted by law, in no event will Essare LLC, or its owners, members, managers, employees, agents, contractors, licensors or suppliers, be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, reputation or data, or for business interruption, or for the cost of substitute goods or services, arising out of or relating to the Venue Board or these Terms, whether based on contract, tort (including negligence), strict liability, warranty or any other legal theory, and even if we have been told such damages were possible.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Venue Board or these Terms will not exceed fifty U.S. dollars (US $50).
These limits apply even if any remedy fails of its essential purpose, and they are an essential part of the bargain between you and us. We would not offer the Venue Board for free without them.
Nothing in these Terms limits liability that can't be limited by law.
Indemnity
You will defend, indemnify and hold harmless Essare LLC and its owners, members, managers, employees, agents, contractors, licensors and suppliers from and against all claims, demands, losses, damages, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your Content, or anything at the address your logo links to;
- your venue, your premises, your staff, or your guests' conduct;
- any wager, game, contest or prize at your venue;
- your breach of these Terms, or of any promise you make in them; or
- your breaking any law or anyone else's rights.
We may take control of the defense of any such claim, and you will cooperate with us.
Changes to these Terms
We may change these Terms at any time. We will post the new version on this page and update the date at the top.
If you keep offering or using the Venue Board after a change, you accept the new Terms. If you don't accept them, ask us to remove your Venue Board.
Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict of law rules.
Any dispute arising out of or relating to these Terms or the Venue Board will be brought only in the state or federal courts located in Minnesota, and you and we consent to their jurisdiction.
General
These Terms, together with the Website Terms of Use and Website Privacy Policy, are the entire agreement between you and us about the Venue Board, and replace anything said or written before.
If any part of these Terms can't be enforced, the rest stays in effect, and that part is enforced as fully as the law allows.
Our not enforcing any part of these Terms isn't a waiver of our right to enforce it later.
You may not transfer these Terms without our written consent. We may transfer them, including as part of a sale of CRIBoard.
We may send you notices at the email address you gave us when you signed up.
